itcroc LLC provides digital design and development services, including branding, UI/UX design, website design and development, WordPress development, Framer development, motion design, digital products, AI-powered solutions, MVP development, custom software, and related professional services.
The exact scope, deliverables, timeline, pricing, and other requirements for a project may be defined separately through a proposal, quotation, invoice, project brief, written agreement, or other communication accepted by both parties.
Project Scope
Each project is performed according to the agreed scope of work. The client is responsible for reviewing and confirming the project requirements before or during the project as reasonably required.
Requests that fall outside the agreed scope may require additional fees, additional delivery time, or a separate agreement.
Any significant change to the original requirements may be treated as additional work.
Client Responsibilities
Clients are responsible for providing accurate project requirements, content, assets, feedback, approvals, credentials, and other materials reasonably required to complete the project.
Delays in providing required information, feedback, content, access, or approvals may affect the project schedule and delivery date.
Clients are responsible for ensuring that materials they provide to itcroc LLC can legally be used for the intended project.
Pricing and Payments
Project pricing is determined based on the agreed scope, requirements, and deliverables.
Payment terms may vary depending on the project and will be communicated through the applicable proposal, quotation, invoice, milestone agreement, or other written communication.
Unless otherwise agreed, work may begin after the required initial payment has been received.
Additional work, features, revisions, integrations, or requirements outside the agreed scope may be quoted and charged separately.
Third-party costs, including hosting, domains, premium plugins, software licenses, stock assets, fonts, APIs, subscriptions, payment processing fees, or other external services, are not included unless specifically stated in the agreed project scope.
Payments made through third-party payment providers are also subject to the terms and policies of those providers.
Revisions
Revision terms may vary depending on the project and will be determined by the agreed project scope or proposal.
Revisions are intended to refine work within the approved direction and original requirements. Major changes in direction, new concepts, additional pages, new functionality, or requirements introduced after work has started may be considered additional work.
Project Timeline
Any estimated project timeline depends on the agreed scope, timely client communication, availability of required materials, feedback, approvals, and any third-party dependencies.
We make reasonable efforts to meet agreed schedules, but delivery dates may change when requirements change, client feedback is delayed, additional work is requested, or circumstances outside our reasonable control affect the project.
Project Communication
Project communication may take place through email, messaging platforms, video calls, project management tools, or other communication channels agreed between itcroc LLC and the client.
Clients are responsible for reviewing project updates and providing feedback or approvals within a reasonable period to avoid unnecessary delays.
Project Delivery and Approval
A project is considered ready for delivery when the agreed deliverables have been completed according to the approved scope.
Clients are responsible for reviewing delivered work and reporting any issues within a reasonable period.
Requests made after final approval or completion that introduce new requirements or changes outside the original scope may be treated as additional work.
Intellectual Property
Unless otherwise agreed in writing, ownership of final project deliverables created specifically for the client may transfer to the client after all applicable project payments have been received.
Until full payment is received, itcroc LLC retains ownership of unpaid project work and deliverables.
Third-party assets, software, plugins, fonts, libraries, stock materials, open-source components, APIs, frameworks, and other licensed materials remain subject to their respective licenses and ownership terms.
Pre-existing tools, processes, frameworks, methods, reusable components, knowledge, and intellectual property owned or developed independently by itcroc LLC remain the property of itcroc LLC unless otherwise agreed in writing.
Portfolio and Promotional Use
Unless confidentiality requirements or a separate written agreement state otherwise, itcroc LLC may display completed public-facing work in its portfolio, website, social media, case studies, presentations, or other promotional materials.
Confidential or sensitive information will not intentionally be published as part of portfolio use.
Client Content and Materials
The client retains ownership of content, trademarks, logos, images, data, and other materials supplied by the client.
By providing these materials, the client confirms that they have the necessary rights, permissions, or licenses for their use and authorizes itcroc LLC to use them as necessary to perform the agreed services.
Third-Party Services
Projects may use or integrate third-party platforms, hosting providers, plugins, APIs, software, payment systems, fonts, libraries, applications, or other external services.
Third-party services are governed by their own terms, pricing, availability, functionality, security practices, and privacy policies.
itcroc LLC is not responsible for outages, pricing changes, discontinued services, policy changes, compatibility changes, or other issues caused by third-party providers outside our reasonable control.
Websites and Software
We make reasonable efforts to deliver websites and software that operate according to the agreed requirements at the time of delivery.
Future changes to browsers, operating systems, hosting environments, third-party services, plugins, APIs, frameworks, security standards, or other technologies may affect functionality after delivery.
Ongoing maintenance, updates, backups, monitoring, security services, and technical support are not included after project completion unless specifically included in the project scope or covered by a separate maintenance or support agreement.
AI-Powered Services
Some projects or services may incorporate artificial intelligence technologies or third-party AI systems.
AI-generated or AI-assisted outputs may not always be completely accurate, unique, or suitable for every intended use. Clients are responsible for reviewing and approving final content, outputs, or functionality where appropriate before relying on them for business, legal, financial, medical, or other sensitive purposes.
Availability of third-party AI functionality may also depend on the applicable provider’s services, pricing, policies, and technical availability.
Confidentiality
We take reasonable measures to protect confidential project information shared with us.
Where specific confidentiality requirements apply, they should be communicated and agreed upon in writing before sensitive information is provided or before the relevant work begins.
Warranties
We aim to provide professional services consistent with the agreed project requirements.
Unless specifically agreed otherwise in writing, our website and services are provided without guarantees regarding specific business results, revenue, search engine rankings, traffic, conversions, sales, investment outcomes, or other results that depend on factors outside our control.
Limitation of Liability
To the extent permitted by applicable law, itcroc LLC will not be liable for indirect, incidental, special, consequential, or similar damages resulting from the use of our website, services, deliverables, or third-party services.
Our responsibility for any project is subject to the applicable agreement and any rights that cannot legally be excluded or limited.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.
Cancellations and Refunds
Cancellation and refund eligibility depends on the nature of the project, work already completed, resources committed, payments made, and any project-specific agreement.
Payments for work already completed, approved milestones, purchased third-party resources, or costs already incurred may be non-refundable to the extent permitted by applicable law.
Any specific cancellation or refund terms included in an accepted proposal, invoice, milestone, or written agreement will apply to that project.

You may not attempt to interfere with the website’s operation, gain unauthorized access to systems or information, introduce malicious software, misuse website functionality, copy protected content without authorization, or use the website in a way that violates applicable law or the rights of others.

Unless otherwise stated, the content, design elements, graphics, branding, text, and other original materials on the itcroc LLC website are owned by or licensed to itcroc LLC.

Termination of Services

Where reasonably possible, we will communicate relevant issues before terminating an active client engagement.
